4. Payment Terms

Payment terms will be specified in individual project agreements. General terms include:

5. Intellectual Property

Client Ownership: Upon full payment, clients receive full ownership of custom solutions built specifically for their business, including custom applications, workflows, and documentation.

Oshidori Ownership: Oshidori retains ownership of:

• Pre-existing tools, templates, and methodologies
• General knowledge and techniques
• Non-specific components that may be reused across projects

6. Confidentiality

We understand that you may share sensitive business information with us during our engagement. We agree to keep all confidential information private and will not disclose it to third parties without your consent, except as required by law. This obligation survives the termination of our business relationship.

7. Limitation of Liability

To the maximum extent permitted by law, Oshidori shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we strive to deliver high-quality solutions, we cannot guarantee specific business outcomes or results.

9. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Ensure they have the rights to any data or content provided to us
• Maintain appropriate backups of their data
• Use delivered solutions in compliance with applicable laws and third-party terms of service

10. Termination

Either party may terminate an engagement with written notice. In the event of termination, the client shall pay for all work completed up to the termination date. Specific termination terms will be outlined in individual project agreements.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of California.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after any changes constitutes acceptance of the new terms.
